 This is a newly created position that will support the office of the Executive Director, the Leadership Team and the Board(s) and their committees in their governance practices. Reporting to the Executive Director, the Governance Specialist works internally with the Leadership Team and the Board of First United Church Social Housing Society (FUCSHS) and the Board of First United Church Community Ministry Society (FUCCMS) and its committees to manage projects, activities, and resources within the governance structure.


    • Serves as a liaison between both Boards of Directors (FUCSHS and FUCCMS) and management on board related matters.
    • Provides governance leadership and coordination, including meeting agenda development to align with Board’s decision making around organizational priorities and Boards’ duties and responsibilities.
    • In consultation with the Executive Director ad Board chairs, identify issues to be addressed by the Board, committees, and other stakeholders as identified.
    • Tracks meeting follow up items, monitors necessary Board approval, and provides guidance to Board and support staff.
    • Ensures drafting, distribution, approval, and maintenance of accurate and concise minutes of all Board and committee meetings.
    • Serves as the primary support of the Board and committees, including maintaining a record of Board competencies, tracking term limits, administering, and compiling Board assessments and managing regulatory documents.
    • Administration of Board portal (Boardable)
    • Works with the Executive Director and Leadership Team to coordinate review and revisions of bylaws, charters, policies, and other governance documents. 
    • Drafts resolutions, executive summaries and other materials for Board meetings and committee meetings when required.
    • Prepares clear and concise communications to Board members and executives regarding meeting details, updates, follow up and announcements.
    • Works with the Executive Director and Leadership Team to coordinate review and revisions of bylaws, charters, policies, and other governance documents.
    • Maintains strong and detailed knowledge of these documents to assure governance process are consistent with governing documents.

    • Using project management techniques to manage the Executive Director’s governance projects including maintaining effective relationships and oversight with third party service providers.
    • Maintains liaison relationship with legal firms who hold corporate records for each Society.
    • Hold relationship with Imagine Canada to provide annual reporting and ensure reaccreditation requirements are met.
    • In partnership with the Leadership Team, providing input to the Executive Director on strategic priorities and maintains a 2-3-yearsight line on key projects, activities, and resources.
    • An ability to utilize anti-oppression, decolonization, anti-racism, feminist theory, and rights-based frameworks relating to governance.
    • Supports Leadership Team in maintaining and reporting Risk Log and ensuring regular review of First United's risk management plans.

  •  5-7 years of experience in compliance, legal or regulatory roles
  • Min. Legal Administrative Assistant Certificate or Paralegal Diploma (Bachelor’s Degree if no legal education)Previous experience in a clerical/administrative position
  • Previous experience working with a charity/non-profit Board
  • Experience using MS Office Suite
  • Experience using online Board Governance software
  • Previous experience in a unionized environment an asset


Supervisory responsibility

The Governance Specialist is directly accountable to the Executive Director. This position will work within Finance & Administration and collaborate frequently with colleagues on the Leadership Team, the Boards (FUCSHS & FUCCMS) and their committees and other management as necessary.


  • Regular communication is maintained with all levels of staff and management as work is assigned and completed, and information exchanged on an ongoing basis.
  • Boards of Directors: regular communication with Board and Committee Chairs, Board Secretaries, and staff support
  • Legal Counsel: regular communication with legal firms to ensure accurate and complete corporate records maintained and all statutory filings complete

Wage Range:  $63,195 - $68,353 DOE plus comprehensive benefits package, including defined benefit pension through the United Church of Canada (6% employee contribution, 9% employer)
