SKILLS AND EXPERIENCE
The successful candidate will possess the following skills and experience:
1. Substantive Skills
- Private mergers and acquisitions - Experience assisting clients with the entire purchase/sale process from Letter of Intent to closing and post-closing, including:
- Negotiating business and legal terms;
- Advising on payment terms, financing and security, employment, real estate, regulatory and other matters;
- Drafting
definitive agreements, as well as ancillary agreements and documents;
- Corporate and alternative business structures, including Alberta and Canada for-profit and non-profit corporations, partnerships, and joint ventures - Experience incorporating/forming organizations, preparing shareholder agreements, advising on corporate transactions and drafting associated documents, and advising on governance matters.
- Commercial and residential real estate - Experience with acquisition, financing, and sale of commercial and residential real estate, and commercial leasing.
2. Team-oriented - Work well in a team environment, including working directly with partners, staff and other associates, and delegating tasks where appropriate.
3. Organized - Utilize management, organizational and attention-to-detail skills to develop and enhance client relationships, substantive skillset, and practice management skills.
