Reporting to the Director of Legal Affairs (Canada), the Legal Counsel will provide support in the following key areas of work: general procurement support, commercial contract negotiation, regulatory compliance, permitting advice, dispute management, and other general corporate advisory work to ensure that Gold Fields' activities are conducted in accordance with the highest standards of compliance and integrity. The position will be based in Montreal, with a work schedule of five days followed by two days off at our offices in Montreal and occasional travel to the Windfall site.
Duties and responsibilities
•Drafting, review and negotiation of various types of commercial contracts related to the construction of a mining project and operational activities in general, including consulting and services agreements, purchase of goods and equipment, and construction-related agreements ;
•Provide legal advice and opinions in various matters related to the company’s activities, including procurement and supply chain, construction-related disputes, claims, insurance, environment, labour relations, regulatory and compliance matters ;
•Participate in the identification of legal risks and the development of legal solutions to support the business plan of the company ;
•Work with external legal counsels, to the extent required to support the delivery of legal objectives, including in relation to high value contract negotiations, projects or disputes ;
•Ensure up to date knowledge of changes in the legal and regulatory landscape that may impact the Canadian assets ;
•Advise on and assist with the development and review of relevant policies and procedures to minimize legal exposure for the company ;
•Build strong relationships and work together with the other departments, including project, procurement, finance, human resources, environment, community relations, etc. ;
•Ensuring adherence of stakeholders to the highest standards of compliance in order to protect Gold Fields’ reputation ;
•Perform any other tasks related to the Legal counsel that are relevant to the success of the project.
Qualifications required
•Bachelor of Laws (LLB) degree ;
•Admission to practice law in Québec, Canada ;
•Minimum of 5 years of relevant experience in commercial law acquired in a law firm and/or in-house legal department ;
•Excellent oral and written communication skills in French and English, as drafting and negotiation in both languages is required.
Technical skills
•Experience in negotiating and drafting a wide variety of commercial contracts, with the ability to make risk-based decisions in a commercial context ;
•Experience in mining or natural resources, construction, or infrastructure projects is an asset ;
•Some experience in managing contentious issues would be highly desirable, particularly in relation to commercial claims or disputes and employment matters ;
•Proven experience in a fast-paced environment and managing competing objectives and priorities ;
•Proficiency in Microsoft Office (Word, Excel, PowerPoint).
